1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the VueLeaf platform, website, and related services (collectively, the "Service") operated by VueLeaf Inc. ("VueLeaf," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

By accessing or using VueLeaf, you confirm that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you are using VueLeaf on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

VueLeaf is a brand reputation intelligence platform designed for the cannabis industry. The Service provides:

• Automated monitoring of publicly accessible cannabis forums and communities
• Cannabis-native sentiment analysis of brand mentions
• Competitive intelligence and share of voice tracking
• Alerting, reporting, and analytics tools
• Forum engagement and reply management features

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the platform.

3. Accounts and Registration

To use VueLeaf, you must create an account by providing your company name, email address, and a password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access or use of your account
• Ensuring that account information remains accurate and current

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or remain inactive for more than 12 months.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Harass, threaten, or defame any individual or entity, including forum users whose content appears in VueLeaf data
• Attempt to access private, password-protected, or non-public areas of any monitored forum
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated tools to extract data from the VueLeaf platform beyond what is provided through our API
• Resell, sublicense, or redistribute VueLeaf data or features to third parties without prior written consent
• Circumvent rate limits, authentication mechanisms, or access controls
• Use the Service for any purpose unrelated to legitimate brand intelligence monitoring

5. Subscription and Billing

Plans and Pricing

VueLeaf is offered on a subscription basis. Current plans and pricing are displayed on our pricing page. Prices are quoted in U.S. dollars and are exclusive of applicable taxes.

Billing Cycle

Subscriptions are billed monthly or annually, depending on the plan selected. Your subscription renews automatically at the end of each billing cycle unless you cancel before the renewal date.

Payment

Payment is processed through our third-party payment provider. By providing payment information, you authorize us to charge the applicable fees to your payment method. You are responsible for keeping your payment information current.

Refunds

Monthly subscriptions are non-refundable. Annual subscriptions may be eligible for a prorated refund if canceled within the first 30 days. Contact support@vueleaf.com for refund requests.

Price Changes

We may adjust pricing with at least 30 days notice. Price changes take effect at the start of your next billing cycle after the notice period.

6. Intellectual Property

VueLeaf Property

The Service, including its software, design, documentation, algorithms, and branding, is the exclusive property of VueLeaf Inc. and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the subscription term.

Your Content

You retain ownership of any content you create or upload to the platform, including custom reports, saved configurations, and reply drafts. By using the Service, you grant VueLeaf a limited license to process this content solely to provide and improve the Service.

7. Data and Content

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Data Accuracy

VueLeaf provides brand reputation data based on automated analysis of publicly available forum content. While we strive for accuracy, we do not guarantee that sentiment classifications, mention counts, or other analytics are error-free. The Service is an intelligence tool, not a definitive source of truth. You are responsible for verifying data before making business decisions based on it.

Data Export

During your active subscription, you may export your data through the platform's export features or our API. Upon account termination, we will retain your data for 90 days during which you may request an export. After 90 days, your data will be deleted in accordance with our Privacy Policy.

8. Forum Monitoring

A core function of VueLeaf is the automated monitoring and analysis of publicly accessible cannabis forum content. By using this feature, you acknowledge and agree that:

• VueLeaf monitors only publicly accessible content. We do not access private messages, restricted sections, or content requiring special authentication.
• Forum content displayed in VueLeaf is sourced from third-party platforms. We do not control, endorse, or guarantee the accuracy of forum content.
• You will not use mention data to identify, target, or harass individual forum users.
• Reply and engagement features are subject to the terms of service of the respective forums. VueLeaf facilitates replies but does not guarantee delivery or compliance with individual forum rules.
• Forum availability and access may change without notice. We cannot guarantee uninterrupted monitoring of any specific forum.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that the data provided will be complete or accurate. You use the Service at your own risk.

10. Limitation of Liability

To the maximum extent permitted by applicable law, VueLeaf Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, regardless of the theory of liability.

Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to VueLeaf during the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless VueLeaf Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Content you create, upload, or transmit through the Service

12. Termination

By You

You may cancel your subscription at any time through your account settings or by contacting support@vueleaf.com. Cancellation takes effect at the end of your current billing cycle. You will retain access to the Service until that date.

By Us

We may suspend or terminate your access to the Service immediately and without notice if you violate these Terms, engage in conduct that harms VueLeaf or other users, or fail to pay applicable fees. We may also terminate the Service entirely with 30 days notice.

Effect of Termination

Upon termination, your right to use the Service ceases immediately, or at the end of the billing cycle for voluntary cancellations. Sections addressing intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

13. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Any dispute arising out of or related to these Terms or the Service shall first be addressed through good-faith negotiation. If the dispute is not resolved within 30 days, either party may pursue binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English and the seat of arbitration shall be Wilmington, Delaware.

You agree that any arbitration will be conducted on an individual basis, not as a class action or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against VueLeaf.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the last updated date. For significant changes, we may also notify you via email or through the platform dashboard. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
